1. Acceptance of Terms

Welcome to TekRamp. These Terms of Service ("Terms") govern your access to and use of the TekRamp platform, website, and related services (collectively, the "Service") provided by TekRamp ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

TekRamp is a FedRAMP compliance acceleration platform that provides tools for:

• Control management and implementation tracking
• Evidence collection and management
• System Security Plan (SSP) generation
• POA&M (Plan of Action and Milestones) management
• OSCAL-native document export
• Multi-party collaboration with consultants, 3PAOs, and agencies
• Continuous monitoring and compliance posture tracking

The Service is designed to assist organizations in achieving and maintaining FedRAMP authorization. However, TekRamp does not guarantee FedRAMP authorization or any specific compliance outcome.

3. Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

4. Subscription and Payments

4.1 Subscription Plans

The Service is offered through various subscription plans. Plan details, features, and pricing are described on our website or in a separate order form. We reserve the right to modify pricing with reasonable notice.

4.2 Payment Terms

You agree to pay all fees associated with your subscription plan. Fees are due as specified in your order or invoice. Unless otherwise stated, fees are non-refundable.

4.3 Renewal

Subscriptions automatically renew for successive periods unless canceled before the renewal date. You may cancel your subscription at any time, effective at the end of the current billing period.

5. Your Data

5.1 Ownership

You retain all rights to the data, documents, and content you upload or create using the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Us

You grant us a limited license to use, process, and store Your Data solely to provide the Service to you. This license terminates when you delete Your Data or close your account.

5.3 Data Security

We implement industry-standard security measures to protect Your Data. However, you are responsible for maintaining appropriate security controls within your organization and ensuring that your use of the Service complies with your own security requirements.

5.4 Data Export

You may export Your Data at any time using the export features provided in the Service. Upon termination, you will have a reasonable period to export Your Data before it is deleted.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to compete with TekRamp or create a similar product
• Share login credentials with unauthorized users
• Exceed usage limits specified in your subscription plan
• Upload content that infringes intellectual property rights of others

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by TekRamp and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use such feedback without restriction or compensation.

8. Third-Party Services

The Service may integrate with third-party services (e.g., AWS, identity providers). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE FEDRAMP AUTHORIZATION OR ANY SPECIFIC COMPLIANCE OUTCOME.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKRAMP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless TekRamp and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

12. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

13. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Virginia.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and TekRamp regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
